2. Nature of 13F Filings (Institutional Holdings)

Users should be aware of the inherent limitations of SEC 13F filings:

  • Time Lag: 13F filings are submitted up to 45 days after the end of a calendar quarter. Therefore, the data may not represent the current holdings of an institution at the time you view it.
  • Incompleteness: 13F filings generally only require the disclosure of long positions in U.S. exchange-traded securities. They often exclude short positions, cash holdings, and non-U.S. securities. Consequently, 13F data does not provide a complete picture of an investor's total portfolio or strategy.

3. Nature of Form 4 Filings (Insider Trading)

Users should understand the specific context of SEC Form 4 filings regarding "insider" transactions:

  • Definition of Insiders: Form 4 reports transactions by company officers, directors, or beneficial owners of more than 10% of a class of the company’s equity securities.
  • Transaction Interpretation: An insider's decision to buy or sell stock can be influenced by numerous factors, including personal financial planning, tax obligations, liquidity needs, or diversification. Therefore, an insider transaction does not necessarily signal a definitive outlook on the company's future performance.
  • Automatic Trading Plans (Rule 10b5-1): Many insider transactions are executed under pre-planned Rule 10b5-1 trading programs, which are scheduled in advance to avoid conflicts of interest. These trades may not reflect the insider's real-time sentiment toward the stock.
  • Reporting Errors: While Form 4s must be filed within two business days of a transaction, filings may occasionally contain clerical errors or be amended by the filer at a later date.

13Radar aggregates data primarily from public SEC regulatory filings (EDGAR). Every data point is processed through multiple layers of quality control to ensure consistency. 

Split-Adjustment Policy: To ensure historical consistency, we adjust historical share counts based on stock split records. Therefore, shares shown in our tables may differ from the raw numbers in original historical filings. Please note: Shares and Shares Change are split-adjusted.
